Terms of Service
These Terms of Service ("Terms") are an agreement between you and Roman Antonian, an individual doing business as StagePage, Oakland, California ("StagePage," "we," "us"). They cover the StagePage iOS app and audio plug-in (the "App"), the StagePage Live subscription, and the performer pages at stagepageapp.com (together, the "Services"). By using the Services you agree to these Terms. If you don't agree, don't use the Services.
1. What StagePage is
- The App is a lyrics and chord teleprompter for musicians. Songs, lyrics, chords and drawings you create are stored on your device and, if you choose, in your own iCloud account.
- StagePage Live is an optional subscription for performers. It gives a performer a public page (stagepageapp.com/your-handle) where audience members ("Fans") can tip, pay to request songs, submit setlists, and book the performer for events, plus tools in the App to manage those requests and bookings. StagePage Live is currently available to performers with a US Stripe account.
- Payments between Fans and performers are processed by Stripe, Inc. ("Stripe") and go directly to the performer's own Stripe account (see Section 6).
2. Eligibility and ages
- You must be able to form a binding contract to use the Services.
- Performers must be at least 18 years old (or the age of majority where they live, if higher) and able to complete Stripe's account verification.
- Fans must be at least 13 to use a performer page. To make a payment you must be 18 or have a parent's or guardian's permission. To book a performer for an event you must be at least 18.
- The Services are not directed to children under 13. If we learn that a child under 13 has given us personal information, we delete it.
3. Performer accounts and handles
- You sign in with Apple and choose a handle, which becomes your public page address. You're responsible for activity under your account and for keeping your Apple ID secure.
- Your profile information (name, title, photo, social links, contact email and phone, prices, requestable song list, available booking times) is shown publicly on your page. Only add what you're comfortable making public.
- Don't choose a handle or display name that impersonates another person or artist, uses someone else's trademark or name in a way that suggests endorsement, or is offensive. Tribute and cover acts must make clear they are not the original artist. Some handles are reserved, and handles can't be sold or transferred.
- We may suspend a handle, or reassign it to someone with a legal right to it (for example a registered trademark or the artist's own name), after giving the current holder notice and at least 5 days to respond. When you delete your account, your handle is retired and can't be claimed by anyone else, except under this paragraph.
4. Purchases and subscriptions (Apple)
- The App's one-time unlock and the StagePage Live subscription are sold through Apple's App Store and are subject to Apple's terms. We never receive your card details.
- StagePage Live costs $5.99 per month or $49.99 per year (US prices; Apple shows the price in your local currency), after a 14-day free trial for new subscribers. When the trial ends, your Apple ID is charged automatically, and the subscription renews automatically each month or year until you cancel. To avoid being charged, cancel at least 24 hours before the trial or current period ends.
- How to cancel: in the App (StagePage Live → Manage subscription) or in your iPhone or iPad Settings → [your name] → Subscriptions. Deleting the App or your StagePage account does not cancel a subscription.
- Refund requests for App Store purchases are handled by Apple.
- If we change a subscription price, Apple notifies you in advance and, where required, asks for your consent before the new price applies.
5. Fans using a performer's page
- Fans can use performer pages without an account. Information you submit (your name, message, song request, or booking details such as phone, email, venue and notes) is sent to that performer so they can respond and perform.
- Don't submit false information, abusive messages, or anyone else's personal information without permission.
6. Payments between Fans and performers
- Who you're paying. Payments to performers are processed by Stripe directly into the performer's own Stripe account. Each performer is the seller and merchant of record for the tips, song requests and booking deposits they receive, and is responsible for fulfilment, refunds, disputes and taxes, subject to the refund rules below. StagePage does not receive, hold or transmit payments between Fans and performers and is not a party to those transactions. Stripe's privacy policy governs payment information you give to Stripe.
- Stripe terms for performers. Performers must accept Stripe's Services Agreement (stripe.com/legal/ssa) when they connect a Stripe account.
- Tips are voluntary payments to the performer for their performance. Tips are not charitable donations and are not refundable through StagePage; a performer may choose to refund a tip.
- Song requests. A paid song request asks the performer to consider playing a song; it is not a tip. The performer decides which requests to play and may decline any request. Paying for a request doesn't guarantee the song will be played. If the performer declines your request, your payment is refunded in full to your original payment method. Requests are sold by the performer, not by StagePage.
- Booking deposits. When you request a booking you pay a deposit to the performer to hold the date and time; it is credited toward the performer's total price. Each performer sets their deposit as a percentage of the price (between 10% and 50%), or as a flat amount when there is no set price, and the amount is shown before you pay. The deposit is non-refundable if you cancel. If the performer declines your booking, cancels it, or doesn't perform, the deposit is refunded in full to your original payment method. The rest of the price and other event terms are agreed directly between you and the performer; they may be more generous than, but may not reduce, your rights under this section.
- Fees. StagePage currently charges no fee on these payments; Stripe's processing fees are paid by the performer. If we introduce a platform fee, we'll give performers at least 30 days' notice before it applies.
- Taxes. Performers are the sellers of their performances, requests and bookings and are responsible for determining, collecting, reporting and paying any taxes on amounts they receive. Stripe may issue performers a Form 1099-K. StagePage does not collect sales tax on Fan payments.
7. Performer responsibilities
- Honor bookings and requests you accept, describe your services honestly, communicate cancellations promptly, and give the refunds Section 6 requires.
- Comply with all laws that apply to you, including tax and consumer-protection laws.
- Music licensing. StagePage does not provide public-performance licenses. Licenses for performing copyrighted music (for example from ASCAP, BMI, SESAC or GMR) are the responsibility of the venue, event organizer or performer, as applicable.
- Fans' contact details. Use the names, phone numbers, emails and addresses Fans send you only to handle that request or booking. Don't sell or share them, add them to marketing lists, or contact Fans for unrelated purposes without their separate consent. Keep them secure and delete them when you no longer need them.
8. Your content and copyright
- You keep ownership of content you add (photos, profile text, song lists, lyrics, chords, drawings). You're responsible for having the rights to it, including any lyrics or music you enter or share with others.
- You give us a non-exclusive, worldwide, royalty-free license to host, store, display and transmit content you choose to publish on your performer page or send through the Services, only as needed to operate the Services. This license ends when you remove the content or delete your account, except for copies kept for legal reasons or in backups for a limited time.
- Copyright complaints (DMCA). If you believe content on StagePage infringes your copyright, send a notice to our designated agent: Roman Antonian, DMCA Agent, StagePage, 1032 Irving St #317, San Francisco, CA 94122, stagepageapp@gmail.com. The notice must include: your physical or electronic signature; identification of the copyrighted work; identification of the material and where it appears (for example the page address); your contact information; a statement that you have a good-faith belief the use is not authorized; and a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act for the owner. If we remove your content and you believe that was a mistake, you can send a counter-notice; we may restore the content after 10–14 business days unless the complaining party tells us they have filed a lawsuit. We terminate the accounts of repeat infringers in appropriate circumstances.
9. Acceptable use and reporting
Don't use the Services to: break the law; commit fraud or launder money; harass, threaten, bully or impersonate anyone; post hateful, sexually explicit or violent content; post content you don't have rights to; spam; share other people's personal information; collect other users' data; interfere with or probe the Services' security; or use automated means to create bookings, requests or accounts. We may remove content and suspend accounts that break these rules. To report a page, message or user, use the Report link on the page or email stagepageapp@gmail.com.
10. Third-party services
The Services rely on third parties, including Apple (App Store, Sign in with Apple, iCloud, Maps), Stripe (payments), and Google (Firebase hosting, database, storage, notifications and analytics; Google Maps as a fallback map). Your use of their services is also governed by their terms. We aren't responsible for third-party services.
11. Suspension and termination
You can stop using the Services at any time and delete your account in the App (Personal Account → Delete account). Deleting your account erases your performer page and the data we store for it; your handle is retired and can't be claimed by anyone else. Your Stripe account belongs to you and isn't closed. Deleting your account doesn't cancel an Apple subscription — cancel it in your Apple ID settings. We may suspend or terminate access if you violate these Terms, create risk or legal exposure for us or others, or if we discontinue the Services. Sections that by their nature should survive termination will survive.
12. Disclaimers
The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. StagePage does not screen, vet or endorse performers. We don't guarantee the Services will be uninterrupted or error-free, that a performer will perform, or that any booking or request will be fulfilled, except for the refund rules in Section 6.
13. Limitation of liability
To the fullest extent permitted by law, StagePage's total liability arising out of these Terms or the Services will not exceed the greater of (a) the amounts you paid to StagePage in the 12 months before the claim or (b) US$100, and StagePage is not liable for indirect, incidental, special or consequential damages. Nothing in these Terms limits liability for fraud, willful injury, gross negligence, or violation of law, or any liability that cannot be limited under applicable law, including California Civil Code section 1668.
14. Indemnity
If you're a performer, you agree to indemnify and hold StagePage harmless from claims arising out of your performances, bookings, content, dealings with Fans, or violation of these Terms or the law.
15. Disputes and governing law
These Terms are governed by California law. Before filing a claim, each party agrees to send the other a written notice describing the dispute (to stagepageapp@gmail.com and 1032 Irving St #317, San Francisco, CA 94122 for StagePage) and to try in good faith to resolve it for 30 days; deadlines to file are paused during that period. Either party may bring an individual claim in small claims court. Otherwise, all claims must be brought exclusively in the state or federal courts located in Alameda County, California, and each party consents to their jurisdiction.
16. Changes
We may update these Terms. If a change is material we'll give notice in the App or on this page before it takes effect. Continuing to use the Services after the change means you accept it.
17. Apple App Store terms
If you obtained the StagePage app from the Apple App Store: (1) these Terms are between you and StagePage only, not Apple, and StagePage, not Apple, is solely responsible for the app and its content; (2) your license is a non-transferable license to use the app on Apple-branded products you own or control, as permitted by the App Store Usage Rules (including Family Sharing); (3) Apple has no obligation to provide maintenance or support; (4) if the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, and Apple has no other warranty obligation; (5) StagePage, not Apple, is responsible for any claims relating to the app, including product liability, legal or regulatory non-compliance, and consumer-protection or privacy claims; (6) StagePage, not Apple, is responsible for investigating, defending, settling and discharging any third-party intellectual-property claim; (7) you represent that you are not located in a U.S.-embargoed or "terrorist supporting" country and are not on any U.S. Government prohibited or restricted party list; (8) questions, complaints or claims may be sent to Roman Antonian d/b/a StagePage, 1032 Irving St #317, San Francisco, CA 94122, (408) 581-1501, stagepageapp@gmail.com; (9) you must comply with applicable third-party terms when using the app; and (10) Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
